The Corporate Counsel will partner closely with the Senior Counsel and legal team to support all aspects of AV's growing business and drive forward our strategic legal and compliance initiatives. The successful candidate will bring broad legal and compliance experience, providing leadership and counsel in the areas of corporate compliance, employment, corporate transactions, litigation management, and a variety of customer and supplier contracts. Depending on successful candidate, this position will be located at our Wilmington, Massachusetts or Simi Valley, California location. Position Responsibilities Lead support and design of company practices, policies, and oversight efforts to facilitate corporate compliance Advise on compliance matters, including privacy and security, accessibility, political law, ethics, employment, marketing, and antitrust Advise on risks and liabilities of proposed commercial transactions and develop creative and practical legal solutions to meet business objectives Stay ahead of applicable laws, regulations, and industry guidance that impact AV's business. Develop form agreements, best practices and lead all aspects of training to support our compliance and legal initiatives Work closely with the product teams to advise on new features and business initiatives that ensure compliance with regulatory and contractual obligations Oversee litigation, response to claims, coordinating with outside counsel, as needed Collaborate with product, engineering, sales, operations, finance, and company leadership team to develop and negotiate a wide variety of commercial agreements Supervise and coordinate with outside counsel as necessary Execute other projects as the need arises as part of a small legal team Other duties as assigned Special Requirement: U.S. Citizen, U.S. Permanent Resident (Green Card holder) or asylee/refugee status as defined by 8 U.S.C. 1324b(a)(3) required. Basic Qualifications (Required Skills & Experience) JD from ABA-accredited law school and current membership in California or Massachusetts Bar (or able to satisfy all California or Massachusetts Bar admission on motion without examination requirements) Minimum of four (4) years' transactional experience at a Law firm and/or in-house as a corporate generalist or compliance professional. Government contracts and international corporate and compliance work helpful, but not required. Occasionally may be required to travel within the Continental U.S. or international locations Other Qualifications & Desired Competencies Demonstrated experience as a motivated attorney who has the ability and confidence to work independently; strong drafting and negotiation skills along with excellent business judgment and attention to detail. Demonstrated ability to develop creative solutions to business problems in a fast-paced and constantly evolving environment. Flexible and willing to approach legal challenges with a results-oriented mentality. Extraordinary initiative, creative problem solver, with excellent judgment and analytical skills. Hands-on, teammate with the ability to think clearly in a stressful situation, prioritize workload while running simultaneous tasks, and meet deadlines within a fast-paced environment. Displays strong initiative and drive to accomplish goals and meet company objectives Proven written and verbal communication skills including the ability to explain complex issues in a clear manner to all levels of the organization. Takes ownership and responsibility for current and past work products Is committed to learning from mistakes and driven to improve and enhance performance of oneself, others, and the company Physical Demands Ability to work in an office environment (Constant) Required to sit for long periods; talk, hear, and use hands and fingers to operate a computer and telephone keyboard (Frequent) This position requires access to information that is subject to compliance with the International Traffic Arms Regulations ("ITAR") and/or the Export Administration Regulations ("EAR").
