Position Description **Senior Counsel - Commercial** Location **Simi Valley, CA** Employment type **Regular - Full Time** ID **341** The Commercial Senior Counsel shall be responsible for a variety of complex legal matters, with a primary emphasis on the preparation and negotiation of contracts for a fast-paced business committed to bringing unique solutions to market. This individual must have a broad legal background to collaborate with other legal and functional experts. **Job Duties and Responsibilities** + Prepare and negotiate a wide variety of complex commercial contracts and agreements with customers, suppliers and business partners. + Provide advice and transactional support to multiple business areas and members of senior management on a wide range of legal and regulatory issues. + Anticipate and identify potential legal risks to existing businesses, ensure material legal and risk issues are clearly communicated to management, and provide guidance and solutions to mitigate risks. + Review promotional and advertising materials for legal clearance. + Provide assistance with contractual and legal disputes, including litigation matters. + Assist in implementing and coordinating legal compliance policies, procedures and training. + Provide support for M&A transactions. + Work with in-house IP counsel to provide general guidance and support on intellectual property issues. + Supervise outside counsel as needed. **Required Qualifications and Background** + JD from accredited Law School of recognized standing, andactive member of bar of at least one U.S. jurisdiction. California bar membership preferred but not mandatory. + 6+ years? law firm and/or in-house experience. + Excellent client management skills with the ability to work effectively and collaborate with internal and external stakeholders of all levels. + Ability to evaluate issues from legal and business perspectives and provide timely and practical advice and solutions. + Excellent analytical and critical thinking skills. + Previous experience with U.S. government contracting, employment and general litigation matters preferred. + Ability to exercise sound judgment while working both independently and in teams. + Demonstrated ability to multi-task and manage multiple priorities. + Strong leadership skills. + Proactive, organized, flexible, responsive and resourceful. + Exceptional interpersonal, written and oral communication skills. **ITAR Requirement:** **This position requires the use of information which is subject to compliance with International Traffic Arms Regulations (ITAR).
